Miscellaneous

You acknowledge and agree that any breach of this Agreement, whether threatened or actual, will cause Nepalance irreparable harm that cannot be quantified in monetary damages and for which Nepalance has no adequate legal remedy. Accordingly, Nepalance shall be entitled to seek and receive an injunction or other appropriate equitable relief from a court of competent jurisdiction, in addition to other available remedies, restraining any breach, threatened or actual, of your obligations under any provision of this Agreement.
As a result, you waive any requirement that Nepalance posts a bond or other security if Nepalance seeks or receives injunctive or equitable relief to enforce any provision of this Agreement. You may not assign your rights or obligations under this Agreement to any other person or entity without Nepalance's prior written consent. Any attempt by You to assign your rights or obligations under this Agreement without our prior written consent will be null and void. Nepalance's failure to insist on strict compliance with any of the terms and conditions set forth herein will not be construed as a waiver of that or any subsequent default or failure to perform. Suppose any provision (or part of a provision) of this Agreement is found to be void, invalid, or otherwise unenforceable by a court of competent jurisdiction or due to a conflict with the applicable regulation. In that case, such determination will not affect the remaining provisions (or parts of conditions) of this Agreement. However, the illegal, invalid, or unenforceable clause will be modified to comply with the applicable regulation. As a result of this Agreement or your use of the Services, there is no joint venture, partnership, employment, or agency relationship between You and Nepalance. This Agreement supersedes all prior understandings, statements, or representations between You and Nepalance.
